Terms of Use

When using the website or BPM platform of RRMG CONSULTORIA LTDA., registered with CNPJ/MF ME under nº 08.840.686/0001-30 (“Blue Service”), users (“Users” or “User”) agree to the terms and conditions set forth below (“Terms”) to register on the website or BPM platform (“Blue Service Access”) and use its functionalities. Blue Service and Users are hereinafter collectively referred to as “Party” and, together, “Parties”.

If the User does not agree with any provisions of these Terms, do not continue to use the Blue Service Access, as its use represents your full and unconditional acceptance of these Terms, binding the Parties. The use of Blue Service Access presupposes the observance of all the rules provided in these Terms, which, if breached, may result in suspension or exclusion of the user.

The Privacy Policy of Blue Service, updated from time to time, is part of these Terms.

Objectives of Blue Service access

The BLUE SERVICE Access was created as a solution for digitization, automation, and management of business processes. A robust and comprehensive platform that integrates all organizational activities with intelligence and flexibility, compliant with the General Data Protection Law (“LGPD”). The main objective of Blue's BPM platform is to facilitate the management of activities by organizing processes with simplicity and speed.

User Registration

The Blue Service Access can only be used by Users who are over 18 (eighteen) years old and legally capable, and must remain so throughout the duration of their relationship with Blue Service.

Blue Service will not preemptively censor the registration of any Users. However, this does not remove Blue Service's ability to reject, suspend, terminate, or delete the registration of a User who violates these Terms or other applicable policies of Blue Service.

To be one of the registered Users of the Blue Service Access and then enjoy its functionalities, the User must provide Blue Service with certain personal information, as indicated in the Privacy Policy, which is protected according to what is stated in that policy.

When using Blue Service Access to register as a User, it is expressly prohibited to:

  • disseminate or attempt to send computer viruses, including, but not limited to, trojans, worms, keyboard loggers, bombs, spywares, adwares, cancelbots or any other invasive or malicious code or program;

  • use Blue Service Access for purposes not expressly provided for in these Terms, including the dissemination of advertisements that cause harm to third parties;

  • copy or adapt the source and object codes of the software of Blue Service Access, reverse engineering, decompiling, modifying the source and object codes of the software of Blue Service Access, or attempting to do so, or in any other way violate the intellectual property rights of Blue Service;

  • use a device, software, or other resource that interferes with the activities and operations of Blue Service Access, as well as its content, descriptions, accounts, or databases;

  • use, develop, or launch automated systems that may access Blue Service Access, such as spiders, robots, scrapers, or off-line readers, as well as access Blue Service Access through these systems;

  • use tools or anonymous proxy with the purpose of making your IP address (internet protocol) anonymous;

  • interfere with or break any security system of Blue Service Access, especially those meant to limit and control access and use of Blue Service Access and its respective content;

  • request login information and/or account access belonging to another user;

  • use the data of other users and/or any other agents of Blue Service Access outside the scope of Blue Service Access or the purposes provided for in these Terms;

  • impersonate another person, or use Blue Service Access for the benefit of third parties;

  • provide false information in your registration data.

Blue Service may suspend, terminate, or delete your registration and/or your use of Blue Service Access if false data or malware is inserted into the Blue Service system and/or any information provided is incorrect, imprecise, outdated, or incomplete, or if Blue Service reasonably believes there is reason to do so.

If this occurs, you will be notified in advance. Blue Service may also suspend, interrupt, or cease to make the platform and/or services available at any time, without prior notice.

The User can cancel their account by requesting to the email suporte@blueservice.com.br. Your request, once received, will be processed and analyzed within up to 15 (fifteen) days, and your account will be deactivated if there are no pending issues to be resolved.

Responsibilities

a) Use of Blue Service Access

Except as otherwise provided in the contract, Users expressly acknowledge that Blue Service is not responsible for any technical and/or operational problems, including failures, data loss, suspensions, interruptions, and any other poor performance of the Blue Service Access, nor does it offer or has it ever offered any type of warranty to Users or any third party regarding the use of the Blue Service Access.

Except as otherwise provided in the contract, Blue Service cannot be held liable for defects or technical and/or operational issues arising from the User's or third parties’ systems or information. Blue Service does not guarantee the absence of viruses or any other harmful electronic elements that may damage data, information, or the operation of other computers and/or mobile devices, hindering the normal use of the network, system, or third parties' equipment. In this sense, Blue Service disclaims any responsibility for damages and resulting loss of any nature arising from the presence of viruses or other code, file, or program received.

Blue Service is not and will not be responsible (i) for the quality of the connection of the User's computer or mobile device to the internet under any circumstances, (ii) for the availability or unavailability of internet access services provided by third parties, (iii) for the disobedience, by the User or third parties, of Blue Service's terms and policies, (iv) for any damages suffered by the User due to the use of the Blue Service Access, or (v) for the repair of any nature of damages caused by the breach of privacy or data security of the User during the internet connection, which are not attributable to Blue Service.

For all of the above reasons, Blue Service disclaims and frees itself, to the fullest extent permitted by applicable law, from any liability for losses, indirect damages, lost profits, and emergent damages that may arise from the lack of continuity or operation of the Blue Service Access.

In any event, Blue Service's maximum liability arising from these Terms will be limited to the direct damages provenly suffered by the User due to any noncompliance with Blue Service's obligations, excluding all claims for indirect damages (including lost profits and loss of data or business opportunity) suffered by the User or any third party arising from the use or operation of the Blue Service Access.

 

b) Fortuitous Event or Force Majeure

Blue Service is not responsible for any delay, difficulty, or failure resulting from causes beyond the control of Blue Service, including any failure to comply with these Terms due to unforeseeable circumstances, such as fortuitous events or force majeure, acts of terrorism, fires, floods, pandemics, strikes, or shortages of transportation, fuel, energy, labor, or materials.

Compensation

Users must defend, indemnify, and hold Blue Service, its partners, directors, administrators, employees, representatives, and staff harmless, and must fully reimburse Blue Service upon request for any and all damages, expenses, costs, direct and/or indirect, liabilities, obligations, damages, defects, losses, claims, and expenses imposed on Blue Service resulting from or arising out of: (i) any action related to the use of Blue Service Access; or (ii) any misleading statement, breach of representation or warranty, or non-compliance with any agreement or agreement of the Parties by the Users.

Blue Service access content and Intellectual Property

Users acknowledge and agree that all information and content provided in the Blue Service Access (including, without limitation, materials, presentations, designs, images, computer programs, titles, objects, artistic works, graphics, animations, sounds, musical compositions and recordings, trademarks, trade names, domain names, slogans, patents, inventions, utility models, know-how and any other intellectual property) are owned by or have been duly licensed to Blue Service and, therefore, cannot be made available to third parties, except when expressly authorized by Blue Service.

Users agree not to reproduce, duplicate, copy, sell, resell or exploit with or without commercial purposes any part of the information and content of the Blue Service Access, as well as commit to using all content of the Blue Service Access lawfully, prohibited from reproducing, distributing, transforming, marketing, or modifying the content, without the prior and express authorization of Blue Service, and are also prohibited from providing login and password to third parties.

Statements

Each Party declares and guarantees to the other that the following statements are true regarding that Party at the execution of these Terms and will remain so throughout the entire relationship with Acesso Blue Service:

  • each Party has full capacity and legitimacy to enter into these Terms, perform all operations provided for herein, and fulfill all obligations assumed herein;

  • each Party has the qualification and/or license for the exercise of its activities;

  • each Party acts in strict compliance with applicable legal norms, carrying out lawful activities;

  • the execution of these Terms and the fulfillment of obligations by the Parties (a) do not violate any provision contained in their corporate documents, when applicable, (b) to the best of their knowledge, do not violate any law, regulation, judicial, administrative, or arbitral decision to which the respective Party is bound, (c) are duly authorized, pursuant to their governing documents in effect, when applicable, and (d) do not constitute a violation of, nor are in conflict with any contract to which it is a party;

  • these Terms are validly executed and constitute a legal, valid, binding, and enforceable obligation against each Party, in accordance with their terms; and

  • each Party is able to fulfill the obligations set forth in these Terms and will act toward the other in good faith and with loyalty.

Validation of transactions and receipt of communications

The present instrument, accompanied by the Privacy Policy, fully represents the agreement made by the Parties regarding its subject and supersedes the terms and conditions of any other agreement or document previously executed regarding these services.

The Users already acknowledge and agree to the validity of the electronic transactions operated through the Acesso Blue Service, including, without limitation, the acceptance of the Privacy Policy and these Terms.

The Users also authorize Blue Service to send emails and SMS about other matters that we believe may be of interest to them.

Thus, the User's agreement with these Terms constitutes a fully valid contract, which the User formed, executed, registered, and validated its respective terms and conditions. In this sense, the User acknowledges and agrees that these Terms entered into as a result of using the Acesso Blue Service, to the extent that they are accepted, constitute a valid contractual bond for all purposes stated herein and, as such, have legal effect, are applicable, and must be fully complied with.

Changes to the Terms of Use

Blue Service reserves the right to change these Terms at any time. In that case, the accepted and ongoing Terms shall be replaced by the most updated version of these Terms, which will be made available through any of the Blue Service Access channels. If there are any significant changes to these Terms, we will send an additional notification via email or display a highlighted notice on the Blue Service Access.

Privacy Policy

By accepting these Terms of Use, Users expressly reiterate their agreement with the Privacy Policy, thus allowing the use of their registration data by Blue Service exclusively for the purposes described in the aforementioned Privacy Policy, as well as in these terms.

Validity and Termination

These Terms shall remain in effect for an indefinite period until the fulfillment of all obligations established between the Parties.

These Terms may be terminated at any time by the performing Party, immediately, in the event of: (i) violation by the other Party of any clauses herein; and (ii) insolvency, bankruptcy petition, or judicial or extrajudicial recovery of the other Party, as applicable.

Notwithstanding the provisions, the availability of Blue Service Access is for an indefinite duration, and Blue Service reserves the right to terminate, suspend, or interrupt unilaterally and at any time, without the need for prior or subsequent notice, the provision of Blue Service Access, or its complete transformation and modification.

The provisions regarding confidentiality and intellectual property rights shall survive the termination, for any reason, of these Terms.

General Provisions

The Parties acknowledge and declare that the approval of the User's registration in no way implies or indicates the existence of any relationship of hierarchy, subordination, work, agency, partnership, or joint venture between the Parties.

The non-exercise or delay in exercising, by the Parties, any right contained in these Terms shall not be interpreted as a waiver or novation.

The prohibition, invalidity, or unenforceability of any provision of these Terms shall not invalidate or affect the same as a whole, and all other provisions not affected by the prohibition, invalidity, or unenforceability of the inoperative clause shall remain in effect.

None of the Parties may assign or transfer to any third party, in whole or in part, their rights and obligations arising from these Terms.

These Terms, including the Privacy Policy, along with any service provision contract entered into by Blue Service and its partners, constitute the entire contract between the Parties, replacing any previous contracts between the Parties concerning this matter.

These Terms, as well as the Privacy Policy, are governed by Brazilian laws. In order to resolve any doubts or issues regarding these Terms, the Parties choose the Forum of the City of São Paulo, State of São Paulo, to the exclusion of any other. In any case, if there are any points of discussion, the Parties shall, in good faith, negotiate in advance a measure for conflict resolution.

Acceptance

Participation in the Acesso Blue Service as a User implies knowledge and full acceptance of these Terms.
